The following Terms of Service are a legal contract between you (“you” and “your”) and Us regarding your use of the Services. Visitors and users of the Services are referred to individually as “User” and collectively as “Users”. Use of the Services is governed by these Terms of Service and our Privacy Policy.
In order to use the Service, you must agree to these Terms. However, in addition to clicking the “I Accept” box, you may also agree to the Terms by actually using the Service. You acknowledge and agree that we will treat your use of the Service as acceptance of these Terms from the time you first use the Service.
PLEASE READ THE FOLLOWING TERMS OF SERVICE CAREFULLY. BY REGISTERING FOR, ACCESSING, OR USING THE PLATFORM, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREED TO BE LEGALLY BOUND BY THESE TERMS OF SERVICE (“TERMS”). IF YOU DO NOT AGREE TO THESE TERMS, YOU MAY NOT USE THE PLATFORM OR ANY RELATED SERVICES. THE FOLLOWING POLICIES ARE INCORPORATED INTO THESE TERMS BY REFERENCE AND FORM AN INTEGRAL PART OF YOUR AGREEMENT WITH SILAH: (A) ACCEPTABLE USE AND CONDUCT POLICY; (B) REFUND AND CANCELLATION POLICY; (C) PRIVACY POLICY; (D) MENTORSHIP PLATFORM PRICING POLICY; (E) MENTORSHIP BUNDLE POLICY; AND (F) ANY OTHER POLICY POSTED BY SILAH.
- **SERVICES **
Platform Function and Role as a Neutral Marketplace
Silah operates a digital platform (the “Platform”) designed to facilitate the offering of mentorship services by pre-approved independent mentors (“Mentors”) to mentees (“Mentees”) through predefined service packages of varying durations (e.g., one (1), three (3), or six (6) months). The Platform provides technological tools to support user interactions, including profile creation, session scheduling, communication, and payment processing. Silah does not itself provide mentorship services and is not a party to any agreement or engagement entered into between Mentors and Mentees. All mentorship services are rendered solely by independent Mentors.
The Platform functions exclusively as a neutral online marketplace, providing a forum through which users may connect for the purpose of engaging in mentorship services. Silah does not direct, supervise, control, or otherwise influence the content, quality, or delivery of such services. Mentors are independent contractors and not employees, agents, or representatives of Silah. Nothing in these Terms shall be construed to create an employment, agency, partnership, joint venture, or fiduciary relationship between Silah and any user.
Silah makes no representations or warranties regarding the results, satisfaction, or professional outcomes of any mentorship engagement. Users access and use the Platform voluntarily and at their own discretion and risk.
Silah expressly disclaims any and all liability for any claims, losses, damages, injuries, or disputes arising out of or relating to: (i) the acts or omissions of any Mentor or Mentee; (ii) failed expectations; (iii) cancellations; or (iv) the performance or non-performance of mentorship services. Silah’s role is strictly limited to the provision of digital infrastructure that facilitates such interactions, except where, in Silah’s sole discretion, intervention is warranted: (a) to ensure compliance with these Terms; (b) to enhance the Platform and its Services; or (c) as provided under the Refund and Payment Policy.
Silah does not exercise control over the substance or outcome of mentorship services, nor over any reviews, ratings, or other user-generated content posted by Mentees or any other user of the Platform.

- ELECTRONIC COMMUNICATIONS
Consent
By communicating with us, you consent to receive communications from us electronically. We will communicate with you by e-mail or by posting notices on this site. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.
Electronic Agreement. This Agreement is an electronic contract that sets out the legally binding terms of your use of the Websites and the Service. This Agreement may be modified by Us from time to time, such modifications to be effective upon posting by Us on the Websites. By accessing or using the Websites, you accept this Agreement and agree to the terms, conditions, and notices contained or referenced herein.
Electronic Notice. You consent to receive notices, including agreements, disclosures, and other communications, electronically from us at the email address you have provided. You agree that these electronic notices satisfy any legal requirements that such communications be in writing.
- User Eligibility, Account Integrity, and Verification
4.1 Eligibility Criteria:
Access to the Platform is limited to individuals who have attained the age of majority (eighteen 18 years or older or as otherwise required by applicable law in the user’s jurisdiction) and who possess full legal capacity to enter into binding contractual relationships. By registering for an account, the user represents and warrants that they meet the eligibility requirements and are not barred from using the Platform under any applicable laws.
4.2 User Classification and Account Creation:
Certain of our Services are reserved for registered users only. To become a registered user, you must create a mentee or mentor account on the Platform. You agree that you are responsible for protecting your account credentials from unauthorized use, and you are responsible for all activity that occurs under those account credentials. You agree to notify us immediately if you believe that any of your account credentials have been or may be used without your permission, so that appropriate action can be taken. The Platform facilitates two distinct categories of user accounts:
- Mentee/User Account: Individuals seeking mentorship services. Registration requires the provision of accurate personal and contact information.
- Mentor Account: If you have been formally approved by the Platform to act as a Mentor, you shall be permitted to create a publicly visible profile (“Mentor Profile”) through the Services. This Mentor Profile may include, but is not limited to, a description of your professional background, coaching or mentoring credentials, service offerings, pricing structure, availability, and any other relevant information pertaining to your Mentorship Services.
By publishing a Mentor Profile, you acknowledge and agree that:
- The information provided therein shall be truthful, complete, and not misleading.
- You shall remain solely responsible for updating your profile to reflect current services, qualifications, and availability.
- Other Users (including prospective Mentees) will be able to view your Mentor Profile and may contact you through the Platform’s internal communication features to initiate discussions regarding the potential provision of Mentorship Services (each, an “Arrangement”).
The Platform reserves the right, at any time and in its sole discretion, and without prior notice, to modify, restrict access to, disable, or permanently remove any Mentor Profile that it deems, in its sole judgment:
- Misleading, inaccurate, or incomplete;
- In violation of these Terms or applicable laws;
- Objectionable, offensive, or inconsistent with the Platform’s standards of professionalism or community values;
- Detrimental to the Platform’s integrity, brand, or user experience.
Mentors shall not circumvent the Platform by soliciting or accepting direct payment from Users outside the Platform for Services initiated or arranged through it, unless expressly permitted in writing.
4.3 Verification and Onboarding:
Mentors shall undergo a platform-defined vetting process, which may include, but is not limited to, identity verification, qualification checks, interviews, and agreement to additional terms or addenda. The Platform reserves the right to approve or reject any Mentor application at its sole discretion. The Platform may also request periodic re-verification or updated documentation to maintain an active Mentor status.
4.4 Accuracy and Maintenance of Information:
All users agree to provide truthful, complete, and current information during account registration and throughout their use of the Platform. Users are solely responsible for maintaining and promptly updating their account details. Submission of false or misleading information, or failure to update information as required, constitutes a material breach of these Terms.
4.5 Account Limitation and Exclusivity:
Each individual may maintain only one (1) active account per user type (i.e., one Mentee account and, where applicable, one Mentor account). Creation of multiple accounts under the same user identity, or impersonation of another individual, is strictly prohibited unless expressly authorized in writing by the Platform.
4.6 Unauthorized Access and Impersonation:
Users shall not share login credentials, access accounts that do not belong to them, or impersonate any person or entity. Any unauthorized use of accounts or the Platform’s services will result in immediate suspension or termination, and may expose the violator to legal liability under civil and/or criminal law.
- **USE OF SERVICES **
Users may access and engage with the Platform’s features, including but not limited to communication tools, session scheduling modules, and payment facilitation systems, solely for the purpose of participating in mentorship services as intended by the Platform.
All Users are required to comply with the Platform’s standards regarding proper usage, including rules governing session bookings, use of communication channels, and restrictions on off-platform engagements.
All Users are expected to uphold the integrity of the Platform and shall not use its Services to circumvent payment processes, solicit or provide services off-platform, or otherwise engage in activity deemed disruptive, abusive, or inconsistent with the Platform’s intended purpose.
For a complete list of prohibited conduct and usage rules, please refer to our Acceptable Use Policy, which is hereby incorporated into these Terms by reference.
If You Are a Mentor: By registering and participating on the Platform in the capacity of a Mentor, you acknowledge and agree that you act solely as an independent contractor and not as an employee, partner, joint venturer, agent, or representative of the Platform. Accordingly, you shall bear sole responsibility for the performance, legality, and quality of any coaching, mentoring, or related services (“Mentor Services”) rendered to Users of the Platform.
Without limiting the generality of the foregoing, you expressly agree to:
- Timely perform all scheduled sessions and engage with Mentees in a diligent, competent, ethical, and professional manner, consistent with applicable industry standards;
- Comply with all Platform protocols, including but not limited to those governing pricing, session delivery, payment processing, revenue share, cancellation, refund eligibility, and dispute resolution mechanisms;
- Grant the Platform a non-exclusive, royalty-free, worldwide license to use your name, likeness, profile information, session content, and any submitted testimonials or performance metrics for marketing, promotional, or Platform-related operational purposes, subject to a separate release form where applicable;
- Strictly refrain from soliciting, diverting, or attempting to transact with any User outside the Platform for any coaching or mentoring-related purposes, or from engaging in any activity that circumvents or undermines the Platform’s commercial model;
- Acknowledge that the Platform retains the right, in its sole discretion and without notice, to suspend, restrict, or permanently disable your access or visibility on the Platform for any conduct deemed to violate these Terms, community standards, or applicable law, including but not limited to non-performance, misconduct, or reputational harm.
If You Are a Mentee: By utilizing the Platform to engage with Mentors or consume Mentor Services, you acknowledge and agree to:
- Interact with Mentors respectfully, punctually, and in good faith, including by honoring all agreed-upon session times and program commitments;
- Comply with the Platform’s applicable refund, cancellation, and feedback procedures and acknowledge the limitations of any guarantees as to service outcomes;
- Refrain from directly soliciting, initiating, or entering into any mentoring or coaching arrangement with a Mentor outside the bounds of the Platform;
- Provide reviews, ratings, or feedback only in accordance with the Platform’s community guidelines and content moderation standards, and not for any retaliatory, defamatory, or fraudulent purpose.
- You agree not to inquire about the engagement of or to engage mentor to complete assignments, write papers, take quizzes, or otherwise do work on your behalf. Further, you agree not to use the Services for any purpose that violates the academic honesty policy or other conduct policies of your school, university, academic institution, or workplace.
- You may not share or transfer your account credentials with any third party.
- We may impose reasonable limits on your scope of access to the Platform, including limits on time or volume of information accessed or devices used to access the Platform, to prevent unauthorized third-party use of the Services.
These obligations are material to your continued access to the Platform and may be enforced through suspension or termination of your account, in addition to any other remedies available at law or in equity.
Mentor Autonomy and User Responsibility
The Platform facilitates access to independent Mentors who may be engaged by Mentees on a non-exclusive basis. As independent contractors, each Mentor retains full discretion over the scheduling, frequency, and availability of their services, as well as complete control over the methods, materials, and content used in the provision of mentorship. Mentors are not subject to oversight, supervision, or control by Silah with respect to the manner or means by which mentorship services are rendered.
Mentees are solely responsible for selecting a Mentor aligned with their personal and professional objectives. Mentees are encouraged to review each Mentor’s self-disclosed qualifications, experience, and user-generated feedback. Silah does not verify or endorse any Mentor or represent the accuracy of such information.
Mentors may accept or decline service requests and may terminate engagements at their discretion. They remain free to offer their services to others—including competitors of Silah—and to engage in any other professional activities, provided such conduct does not result in a breach of these Terms.
Independent Contractor Status and Tax Responsibilities
All users of the Platform, including Mentors, act as independent contractors and not as employees, agents, or legal representatives of Silah. No employment, agency, partnership, or joint venture relationship is created through Platform usage, and no user may bind or act on behalf of Silah in any capacity.
Each user is solely responsible for complying with applicable tax laws, including obligations related to income tax, social security, and other statutory contributions. Silah shall bear no responsibility for such liabilities, and you agree to indemnify and hold Silah harmless against any claims, penalties, or losses arising from non-compliance. Users are not entitled to any employee benefits provided by Silah, including but not limited to health insurance, paid leave, or retirement plans.
Non-Disparagement
Users agree not to make, publish, or communicate to any third party—including on any social media platform—any defamatory, disparaging, or otherwise harmful statements, whether written or oral, concerning Silah, its services, its users (including Mentors and Mentees), or any related interactions occurring through the Platform. This includes, but is not limited to, the unauthorized publication or distribution of session recordings, screenshots, transcripts, or other session content for the purpose of ridicule, harassment, or reputational harm.
Violation of this provision may result in the immediate suspension or termination of access to the Platform and may give rise to legal action, including injunctive relief and claims for damages.
- COPYRIGHT
All content included on this site, such as text, graphics, and logos. Button icons, images, audio clips, digital downloads, data compilation, and software are the property of MITCC or its content suppliers and protected by international copyright laws. The compilation of all content on this site is the exclusive property of MITCC and is protected by international copyright laws. All software used on this site is the property of MITCC or its software suppliers and protected by the United States and international copyright laws.
- TRADEMARKS
Protected Marks
MITCC and other marks indicated on our site are registered trademarks of Mishkat Information Technology and Consulting Company or its subsidiaries in the relevant jurisdiction and other countries.
- LICENSE AND SITE ACCESS
Ownership and Intellectual Property Rights
Users have a personal, non-transferable, non-exclusive right to use the Content of the Platform subject to these Terms. The “Platform Content” means all information, text, images, data, links, or other material created by us and accessible through the Platform. The Content may contain typographical errors, other inadvertent errors, or inaccuracies. We reserve the right to make changes to the Content without obligation to issue any notice of such changes. You may view, copy, download, and print the Content that is available on the Platform, subject to the following conditions: a. The Content is available solely for your personal use. No part of the Platform or the Content may be reproduced or transmitted in any form, by any means, electronic or mechanical, including photocopying and recording for any other purpose; b. The Content may not be modified; c. Copyright, trademark, and other proprietary notices may not be removed. Nothing contained on the Platform should be construed as granting, by implication, estoppel, or otherwise, any license or right to use the Platform or any Content, except: (a) as expressly permitted by these Terms; or (b) with our prior written permission or the permission of such third party that may own the trademark or copyright of the Content.
USER-GENERATED CONTENT The “User-generated Content” means all comments, remarks, information, feedback, text, photographs, links, data, images, video, music, or other material that you or any User post to any part of the Platform or provide to Us, including such content or information that is posted as a result of surveys. We are not responsible or liable for the conduct of Users or for views, opinions, and statements expressed in the User-generated Content submitted for public display through the Platform. We do not prescreen information posted online. We are acting as a passive conduit for such distribution and may not be responsible for the User-generated Content. Any opinions, advice, statements, services, offers, or other information in the User-generated Content expressed or made available by Users are those of the respective author(s) or distributor(s) and not of Platform. We neither endorse nor guarantee the accuracy, completeness, or usefulness of any such User-generated Content. You are responsible for ensuring that the User-generated Content submitted to the Platform is not provided in violation of any copyright, trade secret, or other intellectual property rights of another person or entity. You shall be solely liable for any damages resulting from any infringement of copyrights, trade secrets, or other intellectual property rights, or any other harm resulting from your use, uploading, posting, or submission of the User-generated Content to the Platform. We have the right, but not the obligation, to randomly monitor, edit, or remove any User-generated Content submitted on or through the Platform at any time. If you believe that your intellectual property rights have been infringed, please submit your complaint to support@silahplatform.com. You may report all types of intellectual property claims, including, but not limited to, copyright, trademark, and patent claims. We respond quickly to the concerns of rights owners about any alleged infringement, and we terminate repeat infringers in appropriate circumstances.
Mentor Materials. The Mentor retains full ownership of any original materials they create, including but not limited to lesson plans, worksheets, presentations, and other teaching resources (“Mentor-Created Materials”). Any third-party materials properly licensed by the Mentor (“Mentor-Licensed Materials”) remain the property of the original rights holder. By sharing Mentor-Created Materials or Mentor-Licensed Materials with the Student as part of the mentoring services, the Mentor allows Platform to facilitate the Student’s access to, display and store such materials solely to support the delivery of the mentoring service for as long as it is reasonably necessary to complete educational objectives initiated during the mentoring services.
License Grant
By uploading, posting, submitting, or otherwise making available any content, materials, session data, communications, feedback, or resources (“User Content”) through the Platform, you (whether Mentor or Mentee) retain ownership of your intellectual property but grant the Platform and its affiliates a worldwide, perpetual, irrevocable, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, store, adapt, modify, publish, translate, distribute, publicly perform and display, and create derivative works from such User Content for purposes including platform functionality, quality control, dispute resolution, marketing, promotion, and analytics.
You represent and warrant that you have all necessary rights to grant this license and that such User Content does not infringe any third-party rights or violate any applicable laws or obligations.
The Platform reserves the right, but not the obligation, to remove or restrict access to any User Content that violates these Terms or is otherwise deemed harmful, inappropriate, or legally problematic in its sole discretion.
You hereby agree that Company, in its sole discretion, may use trade names, trademarks, service marks, logos, domain names, and other distinctive brand features, in presentations, marketing materials, customer lists, financial reports, and website listings (including links to your web site) for the purpose of advertising or publicizing the Service.
Feedback
If you provide any feedback, suggestions, or ideas (“Feedback”) to Us through any means, you agree that such Feedback will be considered non-confidential and non-proprietary. By submitting Feedback, you assign all rights, title, and interest in it to Us, granting us the freedom to use, modify, reproduce, or distribute it for any purpose, including developing or improving our services, without any obligation to compensate or attribute it to you. You acknowledge that Company has no obligation to use, display, or implement your Feedback in any way.
This license survives termination of your account or cessation of use of the Platform.
Prohibited Use and Sharing
The User shall not, without MITCC’s prior written consent:
(a) Share, disclose, reproduce, distribute, publish, repurpose, or modify the Proprietary Content in whole or in part for any third party;
(b) Use MITCC’s Proprietary Content to develop or offer similar services, training, or materials, either directly or indirectly, whether commercially or non-commercially;
(c) Incorporate the Proprietary Content into any business, service, or offering that is not expressly authorized under this Agreement;
(d) Upload, store, or transmit the Proprietary Content to any public platform, cloud-based system, knowledge base, or shared server where third-party access is possible;
(e) Provide access to contractors, employees, or affiliates unless they are directly engaged in implementing MITCC’s services for the User and are under written confidentiality obligations.
Subject to your compliance with these Terms, We grant you a limited license to access for educational purposes and make personal use of this site and not to download (other than page caching) or modify it, or any portion of it, except with express written consent from Us.
No License for Commercial Sale of Platform Content
This license does not include any resale or commercial use of this site, Our platforms, or its contents; any collection and use of any descriptions, or prices; any derivative use of this site or its contents; any downloading or copying of account information for the benefit of another merchant; or any use of data mining, robots, or similar data gathering and extraction tools.
No Reproduction
This site or any portion of this site may not be reproduced, duplicated, copied, sold, resold, visited, or otherwise exploited for any commercial purpose without express written consent from Us.
No Framing
You may not frame or utilize framing techniques to enclose any trademark. Logo, or other proprietary information (including images, text, page layout, or form), and our affiliates without express written consent.
**Meta tags **
You may not use any Meta tags or any other hidden text utilizing Our name or trademarks without the express written consent from Us. Any unauthorized use terminates that permission or license granted by Us.
Linking
You are granted a limited, revocable, and non-exclusive right to create a hyperlink to the home page as long as the link does not portray, its affiliates, or their products or services in a false, misleading, derogatory, or otherwise offensive manner. You may not use any MITCC logo or other proprietary graphic or trademark as part of the link without express written permission.
- **PAYMENT **When you place an order through our Services, you agree to the following terms:
Payment Processing: You authorize us, either directly or through a third-party payment processor, to charge your chosen payment method (credit card, debit card, or other) for the total amount of your purchase. This total amount includes all applicable taxes and fees. These charges may be made for verification, pre-authorization, and payment purposes to ensure the validity of your payment method and to secure the necessary funds for your purchase.
Additional Bank Charges: You accept responsibility for any extra charges that your bank or financial service provider may apply to your account. These charges might include, but are not limited to, currency conversion fees, international transaction fees, or any other service fees.
**Prices and Taxes. ** All prices for our Services are in U.S. dollars and are subject to change at any time without notice. The prices displayed do not include applicable taxes, which charges and taxes will be communicated to you at checkout before you place an order, and you are responsible for paying such charges and taxes to Us.
**Accuracy of Billing and Account Information. **MITCC reserves the right to refuse, limit, or cancel any service request at our sole discretion. These limitations may apply to requests made under the same User account, payment method, or billing details. If a request is modified or canceled, we may attempt to notify you using the email or phone number provided at the time of submission. We also reserve the right to restrict service requests that, in our judgment, appear to be made by resellers or unauthorized third parties.
By using our services, you agree to provide and maintain accurate, complete, and up-to-date account information. This includes your contact details, billing information, and any other necessary data to ensure seamless service processing and communication. Failure to update your information may result in delays or the inability to process your request.
**SERVICE PROCESSING AND LIMITATION **MITCC reserves the right to decline, delay, or modify service requests under the following circumstances:
Payment Issues – If your chosen payment method is declined, your service request will not be processed. Ensure that your payment details are accurate and that sufficient funds are available.
Suspicious Activity – If we suspect fraudulent activity, we may cancel the service request. This includes transactions flagged by our security protocols or unusual engagement patterns.
Discretionary Reasons – We may refuse to process a request at our sole discretion, including but not limited to regulatory concerns, operational constraints, or misuse of promotions.
We may also:
Limit Service Availability – We may impose limits on the number of services a user can request to ensure fair access and maintain service quality.
Adjust Timelines – We may extend service delivery timelines due to unforeseen circumstances, operational demands, or compliance requirements. Users will be notified of any delays.
Decline Service Requests – We may refuse service based on location restrictions, legal constraints, or other factors affecting our ability to provide the requested service.
**ERRORS, INACCURACIES, AND OMISSIONS **
Occasionally, there may be information related to our services that contains typographical errors, inaccuracies, or omissions. We reserve the right to correct any errors, inaccuracies, or omissions and to change or update information or cancel service requests if any information in our services or on related communications is found to be inaccurate at any time without prior notice (including after you have submitted your service request).
We undertake no obligation to update, amend, or clarify information in our services or on any related communications, except as required by law. No specified update or refresh date indicated in our services or on any related communications should be construed to mean that all information has been modified or updated.
SUPPLEMENTAL PRICING AND SERVICE PACKAGE POLICIES
If you are a Mentor offering services on the Platform, your participation is subject to additional policies that govern how mentorship sessions are priced, structured, and compensated. These policies are binding and form part of the Terms of Service.
By offering mentorship services through Silah, you agree to comply with the following:
(a) Mentorship Platform Pricing Policy – This policy outlines how service fees are calculated, how revenue is shared between you and Silah, and how payments are processed and disbursed.

(b) Mentorship Bundle Policy – This policy governs the setup, pricing, duration, and expiration terms of mentorship packages (e.g., 1-month, 3-month, or 6-month bundles) that you may offer to Mentees.

We may revise these policies from time to time at its sole discretion. Your continued use of the Platform as a Mentor constitutes acceptance of the most current version of each applicable policy.
- **LIMITATION OF LIABILITY **
IN NO EVENT WILL COMPANY, BE LIABLE TO YOU FOR ANY INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR INDIRECT DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.
